Terms of Service

1. Agreement to Terms

By accessing or using SpandaNada (“the Service”) at https://www.spandanada.com or http://localhost:3100, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

These Terms apply to all visitors, users, and studio operators who access or use the Service.

2. Description of Service

SpandaNada provides a cloud-based studio management platform for boutique fitness and wellness businesses, including tools for class scheduling, membership management, instructor coordination, member-facing booking sites, and integrated payment processing.

3. Accounts

• You must provide accurate and complete information when creating an account and keep it up to date.
• You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
• You must be at least 18 years old to create a studio account. Member accounts on white-label sites are governed by the respective studio's policies.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Fees and Billing

Subscription fees are charged monthly or annually in advance, as selected at signup. All prices are in USD unless otherwise stated. We reserve the right to change pricing with 30 days' notice to active subscribers.

Payment processing for your studio's member transactions is handled through Stripe Connect. SpandaNada does not add a commission markup on core booking payments; standard Stripe processing fees apply.

Subscriptions auto-renew unless cancelled before the renewal date. Refunds are evaluated on a case-by-case basis; contact spandanada@evolutionarystudio.com.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Upload or transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Scrape, crawl, or systematically extract data from the Service without written permission
• Impersonate any person or entity, or misrepresent your affiliation
• Interfere with or disrupt the integrity or performance of the Service

6. Your Data

You retain ownership of all data you input into the Service (“Studio Data”). You grant us a limited, non-exclusive license to store, process, and display your Studio Data solely to provide the Service.

You may export your Studio Data at any time via the platform's export tools. Upon account termination, you have 30 days to export data before it is scheduled for deletion.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by SpandaNada and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without prior written consent.

8. Mobile Application License

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use our mobile applications on devices you own or control, solely for accessing the Service. Your use of an app obtained through the Apple App Store or Google Play is also subject to that store’s terms.

For apps downloaded from the Apple App Store, you acknowledge that this agreement is between you and SpandaNada, not Apple; that Apple has no obligation to provide maintenance or support for the app; and that Apple and its subsidiaries are third-party beneficiaries of this agreement and may enforce it against you. You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government restricted-parties list.

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to create an account or use the apps.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPANDANADA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or a notice within the Service at least 14 days before they take effect. Continued use after changes constitutes acceptance.
